Important Notice To Guests

THIS DOCUMENT IS A LEGALLY BINDING CONTRACT ISSUED BY SINIWORKS, LLC AND ACCEPTED BY GUEST SUBJECT TO THE IMPORTANT TERMS AND CONDITIONS (“TERMS”) BELOW. WHEN THE GUEST COMPLETES THEIR REQUEST FOR PRIVATE ACCESS OR PURCHASES THEIR TICKET (“BOOKING”), THE GUEST ACCEPTS THESE TERMS AND ANY OTHER TERMS AND CONDITIONS PROVIDED.

THESE TERMS CONTAIN IMPORTANT LIMITATIONS ON THE RIGHTS OF GUESTS. IT IS IMPORTANT THAT THE GUEST CAREFULLY READS ALL OF THE TERMS.

THE GUEST’S ATTENTION IS SPECIFICALLY DIRECTED TO SECTIONS 19, 21, 24 AND 25, WHICH CONTAIN SIGNIFICANT LIMITATIONS ON THE GUEST’S RIGHT TO ASSERT CLAIMS, INCLUDING DISCLAIMERS, WAIVER OF WARRANTIES, A WAIVER OF A TRIAL BY JURY, A WAIVER OF ANY RIGHT TO BRING, OR PARTICIPATE IN, A CLASS ACTION, FORUM SELECTION, CHOICE OF LAW, TIME LIMITATIONS FOR FILING SUIT, AND AGREEMENT TO SUBMIT ANY AND ALL DISPUTES, CLAIMS AND/OR CAUSES OF ACTION TO MANDATORY BINDING ARBITRATION.

IF ANYTHING IN THESE TERMS IS (OR BECOMES) INVALID OR UNENFORCEABLE, IT WILL STILL BE ENFORCED TO THE FULLEST EXTENT PERMITTED BY LAW AND THE GUEST WILL STILL BE BOUND BY ALL OF THE OTHER TERMS. For all other terms of service and conditions, please refer to siniworks.com.

SiniWorks, LLC and its owners, operators, parents, subsidiaries, affiliates, principals, agents, licensors, and all employees, officers, and agents of such individuals, companies and entities requires that Guest or anyone else accessing and/or using our: (i) website(s), (ii) mobile application(s), or (iii) any other digital service, that provide Release information, content, products, or services (each, a “Digital Platform”) adhere to the following Terms. By accessing SiniWork’s Digital Platforms, Guest indicates that Guest acknowledges and agrees to these Terms, and any other terms and conditions provided on/through a Digital Platform or herein, including, without limitation, Pilot Releases, Signature Releases and Private Signature Releases Booking Terms & Conditions (each, a “Release”), each of which are incorporated herein and form part of these Terms.

These Terms apply to the relationship between Guest and SiniWorks concerning the booking of Pilot Releases, Signature Releases and Private Signature Releases covered by this Contract. Together, the items described in the preceding sentence constitute a contract between the Guest, on behalf of themselves and SiniWorks to be bound by these Terms. Guest and SiniWorks agree that a Booking is subject to the terms and conditions set forth below. In addition, Guest acknowledges the availability of, and Guest agrees to abide by, these Terms, including but not limited to certain payment terms such as minimum deposit requirements and payment due dates, including refunds. In the event of any conflict between a social media notice (post), ad, other written material or website materials and these Terms, these Terms shall prevail. All capitalized words are defined below.

Guests must affirmatively accept these Terms at the time of Booking.

DEFINITIONS

“Add-On” means any optional purchase separate from a Ticket/Access (e.g., personal micro-reel, portrait session, expedited gallery delivery, or other upgrade).

“Appearance” means a Guest’s or other individual’s name (where identified), likeness, image, voice, interview, statements, and/or other recordings in which the individual may be included, captured as part of SiniWorks Content.

Booking” means the Guest’s agreement to enter into a Contract with SiniWorks, LLC

“Booking Confirmation” means the written confirmation issued by SiniWorks or issued on SiniWorks’ behalf through Ticketing Software (including by email, SMS, or other electronic communication) confirming a Guest’s Booking for a Release, and may include Release Details and/or other release-specific terms.

“Booking Terms and Conditions” means these terms and conditions and the information contained in SiniWorks, its website and/or other information that will form the express terms of your Contract with SiniWorks.

“Check-In” means the on-site verification of a Guest’s Digital Ticket and eligibility for entry, which may be completed by scanning a QR code/barcode or other identifier.

“Communicable Disease” means any disease or illness caused by microorganisms (including bacteria, viruses, parasites, or fungi) that can be spread, directly or indirectly, from one person to another.

“Contract” means the contract between SiniWorks and the Guest for the Event as reflected in the Booking Confirmation sent by SiniWorks to the Guest, which expressly includes these Booking Terms and Conditions.

“Confirmation Date” means the deadline by which SiniWorks will confirm or cancel a release based vendor/venue feasibility. If a Release is not confirmed by the Confirmation Date, refunds or credits will be handled per the Refund Policy for that Release.

“Confirmation Notice” means SiniWorks’ written notice (including by email, SMS, or other electronic communication) confirming whether a Release will proceed or be canceled/rescheduled, and/or confirming a Guest’s attendance or reservation status for a Release.

“Credit” means a non-cash credit issued by SiniWorks to a Guest account that may be applied toward a future Booking in accordance with these Terms, has no cash value, and is not redeemable for cash.

“Cure Period” means the limited period of time (if any) provided by SiniWorks to update or replace a Payment Method after a payment attempt is declined, as stated in these Terms or the applicable Release Details.

“Dangerous Activities” means any activity that carries an inherent risk of serious illness, injury, or death, including without limitation scuba diving, snorkeling, boating, ocean crossings, parasailing, kayaking, paddleboarding, jet boat rides, aircraft or helicopter flights, track driving experiences, and any other similar activities offered, recommended, or participated in by a Guest in connection with a Release.s.

“Deliverables” means post-release media and content (e.g., gallery access, highlight films, recap edits, or other materials) that SiniWorks may provide as part of a Release or as an add-on to Guests and Partners, as described in the Release Details.

“Digital Ticket” means a Ticket delivered electronically (including by email or mobile device) that may include a unique QR code, barcode, or other identifier.

“Digital Platform” or “Digital Platforms” means SiniWorks’ Website, Ticketing Software, and any other online or digital tools, pages, forms, communications, or systems used by SiniWorks in connection with Releases, Bookings, payments, and/or Guest communications.

“Final Payment Due Date” means the date on which the remaining balance (or full ticket amount, as applicable) for a Release is due, as stated in the applicable Release Details or these Terms.

“Force Majeure Event” means an event beyond SiniWorks’ reasonable control that causes or may cause delay, modification, suspension, or cancellation of a Release, including without limitation severe weather; fire; flood; natural disasters; acts of God; public health emergencies; war; terrorism; civil unrest; labor disputes; power outages; transportation disruptions; governmental actions; venue closures; Service Provider unavailability; or other similar events.

“General Admission” means a standard paid Ticket/Access tier for a Release, with inclusions as stated in the applicable Release Details.

“Guest” or “You” means each person named on the booking confirmation, on the invoices, or on a ticket issued by SiniWorks.

“Guest Deliverables” means any Deliverables provided by SiniWorks to a Guest (e.g., gallery access and/or other media), if any, as described in the applicable Release Details.

“Guest Images/Video and Related Materials” means any photographs, video, audio recordings, live streams, screenshots, screen recordings, digital files, posts, stories, reels, captions, comments, reviews, or other content created, captured, edited, uploaded, transmitted, or published by a Guest (or on a Guest’s behalf) in connection with a Release, whether captured on-site or derived from on-site content.

“Guest with Disabilities” means any Guest who has special needs.

“Infectious Disease” means any disease or illness caused by microorganisms that enter the body, multiply, and can cause infection, and may be transmissible to others.

“Informal Resolution Period” means the period of thirty (30) days beginning on the date SiniWorks receives a Guest’s Notice of Dispute, during which the parties agree to attempt in good faith to resolve the dispute informally before initiating any proceeding, as described in these Terms.

“Invitation” means a Release-specific invitation or purchasing opportunity provided by SiniWorks, which may be time-limited and capacity-limited.

“Invitation Request” means a non-binding request to be considered for Private Access. Submitting an Invitation Request does not guarantee an invitation, admission, or ticket availability.

“Late Cancellation Window” means the period immediately preceding the scheduled start time of a Release during which a Guest cancellation is treated as a late cancellation under these Terms.

“Legal Drinking Age” means twenty-one (21) years of age (or older if required by applicable law for a specific location).

Minor” means any person under eighteen (18) years of age.

“Partner” means any brand, sponsor, venue, host, exhibitor, collaborator, or other business entity that participates in, hosts, underwrites, or otherwise engages with SiniWorks in connection with a Release.

“Partner Appearance Materials” means the Partner’s name (where identified), trademarks, service marks, logos, trade dress, branded property, vehicles/vessels/aircraft, locations, and other brand identifiers that appear in SiniWorks Content.

“Partner Participant” means a Partner’s owners, employees, contractors, agents, guests, or representatives who participate in, attend, host, or otherwise appear in connection with a Release.

“Payment Method” means a valid credit card, debit card, or other payment instrument accepted through the Ticketing Software.

“Payment Processor” means the third-party payment service used to process payments for Tickets, which may accept major credit/debit cards and supported wallet payment methods.

“Pilot Release” means a small-capacity Private Access Release offered as RSVP-only or ticketed.

“Priority Access List” means a subset of approved prospects who may receive earlier access to invitations, RSVP windows, or purchasing windows. Approved prospect status does not guarantee admission or availability.

Private Access” means SiniWorks’ invitation-based access pathway for curated experiences. Private Access may include an Invitation Request, limited-time invitation windows, RSVP and/or ticket purchase, and release-specific rules and protocols.

“Private Signature Release” means an ultra-limited, invitation-only Release designed for the highest level of control, privacy, and curation, offered exclusively to select Guests (e.g., prior attendees, best customers, referral partners, or other approved invitees).

“Private Signature Series” means SiniWorks’ ultra-limited, invitation-only Release category offered to select Guests, which may include one or more Private Signature Releases and may require a Seat Hold Deposit as disclosed in the applicable Release Details.

“Public Health Authorities” means governmental or public health bodies that issue guidance, rules, or mandates relating to communicable or infectious diseases, including without limitation the U.S. Centers for Disease Control and Prevention (CDC) and similar authorities.

“Refund” means a return of all or part of the amount paid and is applicable only on the conditions described herein.

“Release” means a SiniWorks Private Access offering published or communicated by SiniWorks with a defined concept, capacity, and participation rules. Releases may be offered in different formats (including Pilot Releases, Signature Releases, and Private Signature Series). A Release is synonymous with an Event.

“Release Details” or “Itinerary” means operational details including date/time window, meeting location, venue address, run-of-show, attire guidance, protocols, safety rules, and any other information SiniWorks provides. Release Details are informational and do not constitute confirmation of a Guest’s attendance unless expressly stated in a Confirmation Notice. Some Release Details may be withheld until attendance is confirmed.

“Release Protocol” / “Guest Protocol” “Release Protocol” and “Guest Protocol” mean the participation rules, standards, requirements, and restrictions applicable to a Release and/or Guest participation, including without limitation: conduct standards, arrival windows, attire requirements, plus-one rules, safety rules, photography/capture rules (including permitted capture devices), restricted areas, identification requirements, and any other participation standards communicated for a Release.

“RSVP” means a request or confirmation (with or without payment) for a Release. An RSVP may remain subject to approval and capacity limits unless explicitly confirmed by SiniWorks.

“Seat Hold Deposit” or “Deposit” means a deposit used primarily for Private Signature Releases to reserve a limited seat allocation.

“Service Provider” or “Service Providers” means any third parties and/or independent contractors, their parent, subsidiaries, and assigns, and their respective employees, affiliates, officers, directors, successors, representatives, agents, and assigns that are responsible for administering services in connection with an Event.

“Signature Release” means a limited-capacity release offered to the broader Private Access audience (including general admission ticketing and/or RSVP Guarantee), as described in the applicable Release Details.

“SiniWorks” means SiniWorks, LLC and its owners, operators, parents, subsidiaries, affiliates, principals, agents, licensors, and all employees, officers, but does not include those third-party, independent contractor Suppliers and Service Providers that provide accommodations, transportation, sightseeing, or any other activities associated with a Release.

“SiniWorks Content” means photographs, video, and audio captured by SiniWorks (and its authorized team) during or in connection with a Release, as described in these Terms and the applicable Release Details.

“Suppliers” means suppliers that includes, without limitation, suppliers of air travel, lodging accommodations, car rental, cruises, tours, other transportation, restaurants, or other suppliers of services hired, retained, or used by Services Providers in connection with providing services related to Guest’s Event. Suppliers are independent contractors acting only as agents for Service Providers.

“Ticket” / “Access” means a paid right to attend a Release (or a defined component of a Release), subject to these Terms, release-specific rules, capacity, and conduct standards.

“Ticketing Software” means the software or any website not owned or operated by SiniWorks used by the Guest to purchase, reserve, receive, or manage Tickets for a Release.

“Underage” means any person under the Legal Drinking Age.

“VIP” or “VIP Ticket” means a premium Ticket/Access tier for a Release, if offered, with inclusions as stated in the applicable Release Details.

“Website” means the set of related web pages, documents and hypertext links served from the web domain https://siniworks.com.

1. Booking Terms Overview

Availability of Features. SiniWorks Releases vary by location, venue, and Service Providers. Certain features and processes referenced in these Booking Terms (including ticketing, RSVP Guarantee, Seat Hold Deposits, VIP access, partner allotments, QR check-in, and identity verification procedures) may not be offered for every Release and may not be offered at all times. When such features are offered, the terms below apply as described in the applicable Release Details.

Authorized payments. Are accepted only through SiniWorks’ official Digital Platforms and official checkout pages that SiniWorks controls.

2. How Bookings Work

2.1 Private Access Pathway

Invitation Request. A Guest is required to submit an Invitation Request through SiniWorks’ Private Access invitation-based pathway for curated experiences. Submission of an Invitation Request does not guarantee admission, ticket availability, or access to any specific Release.

Review and Priority Access. SiniWorks may review a Guest’s request to better align Guest interests and Release experiences. If approved, SiniWorks may grant Priority Access to approved prospects who may receive earlier access to invitations, RSVP windows, or purchasing windows. Priority Access does not guarantee admission or availability.

Release Invitation and Release Details. When a specific Release opens, eligible Guests may receive an invitation, RSVP opportunity, and/or purchasing window. Guests will receive applicable Release Details, which may include date/time window, meeting location, venue address (or general location), run-of-show, attire guidance, Release Protocol / Guest Protocol, safety rules, and any other information SiniWorks provides. Certain Release Details (including precise location information) may be withheld until attendance is confirmed.

Release-Specific Control. The applicable Release Details control for that Release. In the event of any conflict between these Booking Terms and the Release Details, the Release Details control.

2.2 Booking Methods; Ticketing; Identity Verification (When Offered)

Ticketing and Payment Methods. For ticketed Releases, ticket types and pricing (including General Admission and VIP for Signature Releases) will be disclosed in the applicable Release Details. SiniWorks may accept credit/debit cards and other payment methods through its ticketing platform, as made available for a given Release.

RSVP Guarantee / Seat Hold Deposits. For certain Releases, SiniWorks may require RSVP Guarantee (payment method on file) and/or a Seat Hold Deposit, as disclosed in the applicable Release Details and governed by these Terms.

Check-In; Credentials; Identification. Check-in procedures may vary by Release and may include Digital Tickets, QR code check-in, wristbands, badges/lanyards, and/or other credentials. Guests may be required to present valid government-issued photo identification for age verification, identity verification, and/or venue compliance. Service Providers may card Guests as proof of legal drinking age.

Guest Allotments; Partner Admissions. Certain Releases may permit guest allotments, plus-ones, partner admissions, or other controlled entry rules as disclosed in the applicable Release Details. Any plus-one or guest admission is subject to SiniWorks approval and capacity.

Cancellations; Late Cancellations; No-Shows; Refunds and Credits. Cancellations, late cancellations, refunds, credits, and no-shows are governed by these Terms and may vary by Release type as disclosed in the applicable Release Details.

3. Types of Releases

SiniWorks’ Private Access may be offered as Pilot Releases, Signature Releases, and Private Signature Series. Each release may have different RSVP, payment, and cancellation rules as disclosed at the time of invitation or purchase.

3.1 Pilot Releases (RSVP / Ticketing). Pilot Releases are small-capacity pilots used to validate locations, format, and operations. Pilot Releases may be offered as RSVP-only or ticketed. RSVP-only does not guarantee admission until confirmed by SiniWorks. If ticketed, tickets are offered only after key details are confirmed.

3.2 Signature Releases (RSVP Guarantee). Signature Releases are limited-capacity Releases offered to the broader Private Access audience and are generally ticketed (including General Admission and, where offered, VIP ticketing) as described in the applicable Release Details. For certain Signature Releases, SiniWorks may require an RSVP Guarantee to hold a limited seat allocation. You may be asked to provide a valid payment method to reserve your seat.

3.3 Private Signature Releases (Seat Hold Deposit). Private Signature Releases are ultra-limited, invitation-only Releases designed for the highest level of control, privacy, and curation, offered exclusively to select Guests (e.g., prior attendees, best customers, referral partners, or other approved invitees). Private Signature Releases may have distinct RSVP, payment, and cancellation requirements as disclosed in the applicable Release Details. Private Signature Release participation may be restricted by approval, referral, or specific eligibility criteria, and may include additional rules, protocols, or documentation requirements. SiniWorks may require a separate written agreement and/or separate payment and cancellation terms for Private Signature Release offerings. Private Signature Series participation requires a Seat Hold Deposit at the time of booking to reserve a seat. The Seat Hold Deposit amount and applicable deadlines will be disclosed for each offering. Unless otherwise stated, the Seat Hold Deposit is credited toward the final ticket price.

4. Final Payment (Automatic Charge at 30 Days)

4.1 Signature Releases (RSVP Guarantee)

Automatic Final Payment. For Signature Releases that use RSVP Guarantee, you authorize SiniWorks to automatically charge the payment method on file for the full ticket amount on the Final Payment Due Date (generally thirty (30) days prior to the scheduled start time of the Release), unless a different deadline is expressly stated in the applicable Release Details.

Payment Failure. If the payment method on file is declined on the Final Payment Due Date, SiniWorks may provide a short cure period to update payment information. If payment is not successfully completed within the cure period, SiniWorks may cancel your reservation and release your seat.

4.2 Private Signature Releases (Seat Hold Deposit)

Automatic Final Payment. For Private Signature Releases that require a Seat Hold Deposit, you authorize SiniWorks to automatically charge the payment method on file for any remaining balance (after application of the Seat Hold Deposit) on the Final Payment Due Date (generally thirty (30) days prior to the scheduled start time of the Release), unless a different deadline is expressly stated in the applicable Release Details.

Payment Failure. If the payment method on file is declined on the Final Payment Due Date, SiniWorks may provide a short cure period to update payment information. If payment is not successfully completed within the cure period, SiniWorks may cancel your reservation and release your seat. Any Seat Hold Deposit will be handled in accordance with these Terms.

5. Cancellations, Late Cancellations, No-Shows, Refunds & Credit

If SiniWorks is unable to confirm a Release, or if SiniWorks cancels the Release, refunds or credits will be handled as follows (unless expressly stated otherwise in the Release Details):

  • Ticketed Pilot Releases: amounts paid for that Release will be refunded (or a credit may be offered if expressly stated and selected by Guest)
  • Signature Releases (RSVP Guarantee): SiniWorks will not process any ticket charge for that Release. If any amount is processed in error, it will be refunded to the original payment method within a reasonable period.
  • Private Signature Releases (Seat Hold Deposit): Seat Hold Deposits will be refunded.

Cancellations and Late Cancellations will be handled as follows (unless expressly stated otherwise in the Release Details):

5.1 Pilot Releases (RSVP / Ticketed)

Ticketed Pilot Releases. Where a Pilot Release is ticketed, you may cancel outside the Late Cancellation Window and receive a refund of amounts paid for that Release. Cancellations made within 3 days of the scheduled start time (the “Late Cancellation Window”) are non-refundable; however, SiniWorks will issue a credit equal to the amounts paid for that Release, subject to the Credit Terms set forth in these Terms. No-shows are non-refundable.

RSVP-Only Pilot Releases. For RSVP-only Pilot Releases, repeated late cancellations or no-shows may result in loss of invitation eligibility, Priority Access, or RSVP privileges for future Releases, at SiniWorks’ discretion.

5.2 Signature Releases (RSVP Guarantee)

For Signature Releases using RSVP Guarantee, the ticket amount is charged on the Final Payment Due Date (generally30 days prior to the scheduled start time, unless otherwise stated).

  • Cancellation outside the Late Cancellation Window (Refund). If you cancel before the Late Cancellation Window begins (i.e., more than 7 days prior to the scheduled start time), SiniWorks will refund all amounts paid by you for that Release (or, if no charge has been processed, no charge will be processed).
  • Cancellation within the Late Cancellation Window (Credit). If you cancel within 7 days of the scheduled start time (the “Late Cancellation Window”), amounts paid are non-refundable; however, SiniWorks will issue a credit equal to the amounts paid by you for that Release, subject to the Credit Terms set forth in these Terms.
  • No-shows. No-shows are non-refundable.

5.3 Private Signature Releases (Seat Hold Deposit)

Private Signature Releases may require a Seat Hold Deposit at booking, with any remaining balance charged on the Final Payment Due Date (generally 30 days prior to the scheduled start time, unless otherwise stated).

  • Cancellation outside the Late Cancellation Window (Refund). If you cancel before the Late Cancellation Window begins (i.e., more than 14 days prior to the scheduled start time), SiniWorks will refund all amounts paid by you for that Release at the time of cancellation, including any Seat Hold Deposit.
  • Cancellation within the Late Cancellation Window (Credit). If you cancel within 14 days of the scheduled start time (the “Late Cancellation Window”), amounts paid are non-refundable; however, SiniWorks will issue a credit equal to the amounts paid by you for that Release at the time of cancellation, subject to the Credit Terms set forth in these Terms.
  • No-shows. No-shows are non-refundable.

6. Credit Terms, Expiration & Use

Credit Issuance. Where these Terms provide for a credit, SiniWorks will issue a credit in the amount stated in the applicable cancellation provision (the “Credit”).

No Cash Value. Credits have no cash value, are not redeemable for cash, and may not be exchanged for cash, gift cards, or any other form of payment.

Use of Credit. Credits may be applied only toward the purchase of access to future SiniWorks Releases offered through SiniWorks’ ticketing process, subject to availability and capacity. If the price of a future Release exceeds the Credit amount, the difference is due at Booking.

Partial Use; Remaining Balance. If the price of a future Release is less than the Credit amount, the unused balance will remain available on the Guest’s account and may be applied to future Releases until the Credit is fully used or expires, subject to these Terms and any Release Details.

Expiration. Credits expire twelve (12) months from the date of issuance unless a different expiration period is stated in the applicable Release Details.

Release-Specific Limitations. SiniWorks may restrict the use of Credits for certain Releases (including Private Signature Releases) as disclosed in the applicable Release Details.

7. What’s Included In All Releases

Unless expressly stated otherwise in the applicable Release Details, all SiniWorks Releases include the following features:

  • Curated Access. Admission is offered through SiniWorks’ invitation-based process and is capacity-limited. Submission of an Invitation Request does not guarantee admission or availability.
  • Produced Experience. Each Release is delivered as a hosted, timed experience with a defined run-of-show designed to preserve the intended environment and flow.
  • SiniWorks Official Coverage. SiniWorks (and its authorized team) is the official photo/video capture provider for the Release. SiniWorks may capture photographs, video, and audio during the Release for editorial, promotional, and archival purposes, subject to these Terms and the applicable Release Details.
  • Post-Release Media Access. Guests may receive access to a post-Release gallery and/or other media deliverables as determined by SiniWorks and described in the applicable Release Details. Timing, format, and scope of deliverables may vary by Release.

Note: Hospitality, entertainment, access moments, partner activations, and other elements vary by Release and are included only if expressly stated in the applicable Release Details.

7.1 Release Specific Inclusions

A. Pilot Releases — Typical Inclusions (No VIP Tickets)

Pilot Releases may include:

  • Light Hospitality. Small bites and/or light hors d’oeuvres.
  • Limited Drink Service. A limited bar offering (e.g., a welcome pour and/or beer/wine and/or drink tickets), as disclosed in Release Details.
  • Curated Sound. Background music designed for conversation (e.g., curated playlist or venue sound).
  • SiniWorks Official Coverage + Post-Release Media Access. As described in “What’s Included in All Releases.”

No VIP Tickets. Pilot Releases do not include VIP ticketing unless expressly stated in the applicable Release Details.

B. Signature Releases — General Admission vs VIP Inclusions

(i) General Admission (Typical Inclusions):

  • Access to the Release during the stated event window.
  • Hospitality as disclosed in the Release Details (generally more substantial than Pilot Releases).
  • Hosted run-of-show and access moments (as applicable).
  • SiniWorks Official Coverage + Post-Release Media Access as described in these Terms.

(ii) VIP (Typical Inclusions):

VIP access for a Signature Release may include one or more of the following, as disclosed in the Release Details:

  • Earlier entry and/or extended access window.
  • Enhanced hospitality (e.g., premium bar selections, upgraded service, reserved seating or lounge access).
  • Priority positioning for key moments (e.g., reveal windows, guided access, or designated viewing areas).
  • Concierge-level guest handling (e.g., expedited check-in).
  • Priority media delivery and/or additional media elements, where expressly stated.

Release-Specific Control. VIP inclusions vary by Release and are not guaranteed unless expressly stated in the applicable Release Details.

C. Private Signature Releases — Typical Inclusions (Invite-Only / Highest Touch)

Private Signature Releases may include:

  • Private Venue Access. Access to a secured or private environment (e.g., marine/hangar/lounge-style venue or equivalent private setting), with controlled entry and guest flow.
  • Elevated Hospitality. More extensive food and beverage service than Pilot Releases and generally more premium than standard Signature Release General Admission, as disclosed in Release Details.
  • Enhanced Programming. A designed feature moment and/or curated programming (e.g., lounge-format entertainment, guided access, or other high-touch elements) as disclosed in Release Details.
  • Concierge Handling. Discreet check-in, controlled capacity, and priority handling are designed to preserve privacy and the intended environment.
  • SiniWorks Official Coverage + Priority Media Access. Post-Release media access may be prioritized and/or expanded for Private Signature Releases where expressly stated in Release Details.

Release-Specific Variations. The precise inclusions, hospitality scope, and deliverables for a Private Signature Release are determined on a release-by-release basis and will be disclosed in the applicable Release Details.

8. What’s Not Included In All Releases

The following are not included in Releases: (1) international airfare, (2) costs associated with obtaining passports or entry visas; (3) reciprocity and other border fees; (4) airport departure taxes, (5) excess baggage charges; (6) gratuities (7) meals other than those noted in inclusions above or specified in the Release Details; (8) room service (9) beverages other than those noted in inclusions noted above or specified in the Release Details; (10) sightseeing not included in the published Release Details; (11) personal expenses (12) communication charges, Internet access; and (13) optional activities (which are subject to availability).

9. Travel-Related Services (No Travel Sales)

Release Specific Exclusions

9.1 No Travel Services Sold by SiniWorks. SiniWorks does not sell, provide, arrange, book, or act as an agent for travel-related services, including, without limitation, airfare, lodging, ground transportation, charters, excursions, or travel insurance. Any travel-related services referenced by SiniWorks are provided by independent third-party Service Providers and are offered for convenience only.

9.2 Guest Books Directly. Guests are solely responsible for making their own travel arrangements. Where SiniWorks provides a link, code, or preferred rate, the Guest’s booking and payment are made directly with the third-party provider, and any contract is solely between the Guest and that provider.

9.3 Third-Party Terms Control. All travel-related services are subject to the third-party provider’s terms, policies, capacity, safety rules, and cancellation/change rules. SiniWorks is not responsible for delays, cancellations, service failures, schedule changes, overbooking, acts of third parties, or any related losses, costs, or damages.

9.4 No Responsibility for Documents/Entry Requirements. Guests are solely responsible for passports, visas, entry requirements, customs/immigration compliance, and any related fees or documentation.

10. Itineraries; Release Details; Program Changes

10.1 Release Details and Itineraries. Each Release may include an itinerary, schedule, run-of-show, access moments, and other Release Details (collectively, “Itinerary”). Any Itinerary is provided for planning purposes only and may be modified at SiniWorks’ discretion.

10.2 Right to Modify. SiniWorks may modify, adjust, substitute, reorder, shorten, extend, or cancel any part of a Release (including the Itinerary, timing, locations, access moments, hospitality, entertainment, Service Providers, or other elements) due to operational needs or circumstances beyond SiniWorks’ reasonable control, including without limitation: weather, safety considerations, regulatory requirements, venue restrictions, Service Provider availability, equipment issues, staffing issues, security concerns, force majeure events, or other unforeseen conditions.

10.3 No Guarantee of Specific Elements. Unless expressly stated in the applicable Release Details, SiniWorks does not guarantee any specific itinerary element, Service Provider, vehicle/vessel/aircraft, route, timing, view, access moment, or experience component.

10.4 Notification. SiniWorks will use reasonable efforts to notify Guests of material changes to a Release when practicable. Some changes may occur with limited notice, including changes made on the day of the Release.

10.5 Refunds for Changes. Modifications to the Itinerary do not entitle Guests to refunds, credits, or price adjustments except as expressly stated in these Terms or the applicable Refund Policy, or where SiniWorks cancels the Release.

11. Minors; Legal Drinking Age; Identification

11.1 No Underage Guests. No person who is Underage is permitted to access, attend, or remain at any SiniWorks Release.

11.2 Minors. For the avoidance of doubt, Minors are prohibited from all Releases. A Minor is also Underage.

11.3 Age Verification and ID Checks. Guests may be required to present valid, government-issued photo identification as proof of age and identity. SiniWorks and its Service Providers reserve the right to request identification at any time, refuse admission, deny alcohol service, or remove any Guest who cannot provide satisfactory proof of age.

11.4 False Identification. Use of false identification, misrepresentation of age, or any attempt to obtain alcohol unlawfully is prohibited and may result in refusal of admission or removal.

11.5 No Refund for Denied Admission / Removal. If a Guest is denied admission or removed due to inability to verify age, use of false identification, or violation of this section, the Guest’s ticket, deposit, and/or any amounts paid are non-refundable, except as expressly stated in these Terms.

11.6 Compliance With Laws and Venue Rules. Guests must comply with all applicable laws and any venue or Service Provider policies regarding alcohol service and consumption.

12. Active Elements; Fitness; Special Needs; Accessibility

12.1 Active Elements / Physical Requirements. Certain Releases may include active elements (e.g., walking, standing for extended periods, stairs, uneven surfaces, ramps, boarding procedures, dock access, tight spaces, loud environments, heat, weather exposure, or other physical conditions). To enjoy the Release, Guests are responsible for determining whether they can safely participate.

12.2 Fitness to Participate. Guests must be physically fit and able to participate safely in the Release as described in the applicable Release Details. SiniWorks may refuse admission or participation in any portion of a Release where, in SiniWorks’ reasonable judgment or the judgment of a Service Provider, a Guest’s participation may pose a safety risk to the Guest or others.

12.3 Special Needs / Medical Conditions. Guests with medical conditions, mobility limitations, sensory sensitivities, dietary restrictions, allergies, or other special needs should notify SiniWorks in writing in advance of the Release. While SiniWorks may attempt to accommodate reasonable requests, accommodations are not guaranteed and may be limited by venue, equipment, safety requirements, and Service Provider policies.

12.4 Accessibility. Accessibility varies by Release, venue, and Service Provider. Guests requiring accessible entry, seating, restroom access, or other accommodations should contact SiniWorks in advance to confirm what may be available for the specific Release. SiniWorks does not guarantee that all locations, vehicles, vessels, aircraft, docks, or third-party environments will be accessible.

12.5 Service Provider Policies Control. Certain accommodations and access may be controlled by third-party Service Providers and venues. Guests must comply with all safety requirements, boarding procedures, and access restrictions imposed by Service Providers.

13. Destination Travel; Safety; Travel Documents

13.1 Destination Releases. Certain Releases may involve travel to destinations outside the Guest’s local area, including international destinations, and may involve third-party transportation and Service Providers. Any destination-related information provided by SiniWorks is for informational purposes and planning. Guest acknowledges and agrees that Guest assumes all risks imposed by travel. Any information provided by SiniWorks, Service Providers, and Suppliers will not replace Guest’s own judicious risk assessment, based on Guest’s personal circumstances, and that of prudent health, safety, and security considerations. Guest assumes responsibility for his/her own comfort and safety and acknowledges and agrees that SiniWorks cannot guarantee Guest’s comfort and safety at any time.

13.2 Travel Documents and Entry Requirements. Guests are solely responsible for obtaining and maintaining valid travel documents and meeting all entry requirements, including passports, visas, permits, health requirements, customs and immigration compliance, and payment of any related fees or taxes. Guests are solely responsible for reviewing current government-issued travel advisories and warnings, restrictions, weather conditions and public health directives before making a Booking and before traveling. Guests are also responsible for confirming current entry requirements with the appropriate authorities and Service Providers.

A valid passport is required for U.S. and Canadian citizens travelling to all international destinations. Passports must be valid for six (6) months after completion of the Release and should also have sufficient blank visa pages for entry and exit stamps. U.S. citizens aged 18 and over must present a REAL ID-compliant driver’s license or a valid passport to board domestic flights within the United States. Many destinations also require a visa for U.S. and Canadian citizens, which will be indicated in Guest’s Release Details. Citizens of countries other than the U.S. should contact the appropriate consular office for entry requirements regarding their Release. Guest may be refused boarding or be disembarked from a plane or vessel if the Guest does not present the proper travel documents. Under no circumstances shall SiniWorks be liable for a refund, payment, compensation, or credit of any kind, including but not limited to costs, damages, or expenses whatsoever incurred by any Guest as a result of such failure, cancellation, disembarkation or denial of boarding. Guest is solely responsible for all related costs and fines incurred by Guest and/or SiniWorks arising out of, related to, or otherwise in connection with Guest’s improper documentation or noncompliance with applicable law, rules, and/or regulations and any travel expenses or other costs, including proper travel documentation. Guest acknowledges and agrees that SiniWorks shall not be responsible if any Guest is denied entry to a country due to noncompliance with these requirements.

13.3 Denial of Boarding/Entry. SiniWorks is not responsible if a Guest is denied boarding, denied entry, delayed, or removed by any Service Provider or governmental authority due to documentation, identification, eligibility, conduct, safety concerns, or non-compliance with applicable rules or laws.

13.4 Safety Rules and Service Provider Control. Guests must comply with all safety rules, operational instructions, and policies imposed by SiniWorks, venues, and Service Providers, including any boarding procedures, weight/baggage limitations, restricted access areas, and conduct requirements. Service Providers may refuse service or participation to any Guest at their sole discretion for safety or compliance reasons.

13.5 No Travel Sales. SiniWorks does not sell or book travel-related services. Guest travel arrangements are made directly with third-party Service Providers as described in Section 8 (Travel-Related Services).

BY OFFERING A RELEASE TO A PARTICULAR DESTINATION, SINIWORKS DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH DESTINATIONS IS SAFE, ADVISABLE, OR WITHOUT RISK, AND SINIWORKS IS NOT LIABLE FOR ANY DAMAGES OR LOSSES THAT MAY RESULT FROM CANCELLATIONS OF BOOKINGS, TRAVEL ARRANGEMENTS AND/OR TRAVEL TO SUCH DESTINATIONS.

14. Public Health; Communicable or Infectious Diseases

Communicable Disease means any disease or illness caused by microorganisms such as bacteria, viruses, parasites, or fungi that can be spread, directly or indirectly, from one person to another. Infectious Disease means any disease or illness caused by microorganisms such as bacteria, viruses, parasites, or fungi that enter the body, multiply, and can cause an infection.

14.1 Health and Safety. Guests acknowledge that participation in Releases may involve contact with other individuals and that exposure to communicable or infectious diseases is possible. Guest agrees, understands, and acknowledges, that an inherent risk of exposure to Communicable and Infectious Diseases such as, for example, COVID-19 (as defined by the World Health Organization and any strains, variants, or mutations thereof) and SARS-CoV-2 (the virus that can cause COVID-19) (collectively, “COVID-19”), exists in any public place where people are present, including an aircraft and marine vessels. Extremely contagious Communicable Diseases can lead to severe illness and death. No precautions can eliminate the risk of exposure to them, and the risk of exposure applies to everyone. According to the Centers for Disease Control and Prevention (“CDC”), older adults (people 65 years and older) and people of any age who have underlying medical conditions are at higher risk for severe illness and death from COVID-19. Relevant public health authorities, including but not limited to the CDC and others worldwide, are referred to herein as Public Health Authorities. Guestacknowledge that the risk of exposure to Communicable or Infectious Disease, such as COVID-19, includes the risk that you will expose others that you encounter, even if you are not experiencing or displaying any symptoms of illness.

Guest acknowledges and agrees to voluntarily assume all risks in any way related to exposure to any Communicable or Infectious Disease such as COVID-19, including illness, injury, or death of Guest or others. Guest acknowledges that participation in a Release is entirely voluntary. By participating in a Release, Guest attests that Guest is knowledgeable about his or her individual risk of developing severe illness if Guest is exposed to and/or infected with highly contagious or communicable illnesses or diseases such as COVID-19. Guest must make an informed decision about travelling and is strongly encouraged to consult with a medical provider before deciding to participate in a Release based on Guest’s individual risk.

14.2 Compliance With Rules and Safety Protocols. Guest further acknowledges and agrees to abide by, and consent to, all public health rules, regulations, mandates and safety protocols issued by Public Health Authorities worldwide, including but not limited to: (a) Submission to mandatory testing at such times and frequency as required by Public Health Authorities or SiniWorks, which may include testing before, during and after your Release; (b) submission to enhanced health screening for signs and symptoms of or known exposure to Communicable or Infectious Diseases such as COVID-19; (c) denial of participation due to signs and symptoms of a possible infection or known exposure to Communicable or Infectious Diseases such as COVID-19 as determined by SiniWorks at its sole discretion, according to technical instructions or orders by Public Health Authorities; (d) participation in contact tracing and data collection for Communicable or Infectious Disease surveillance; (e) mandatory isolation and/or quarantine; (f) mandatory daily temperature checks; (g) mandatory use of face coverings/face masks according to Public Health Authorities’ guidelines and (h) following SiniWorks physical distancing requirements.

Guest further acknowledges that the public health rules, regulations, mandates, and safety protocols issued by SiniWorks and/or Public Health Authorities and/or other governing bodies are subject to change. SiniWorks reserves the right to change any of its health and safety protocols, including, but not limited to, requirements on vaccinations, masks, and physical distancing at its sole discretion, without notice. It is your sole responsibility to confirm any changes to any health and safety protocols that may be applicable at any destination worldwide and ensure compliance with all health and safety protocols.

It is the responsibility of the Guest to become informed about the most current travel advisories and warnings by referring to the U.S. State Department or their respective government agencies. In the event of an active State Department or government agency travel warning against travel to the specific destination location(s) of the Release, should the Guest still choose to travel, notwithstanding any travel advisory, the Guest assumes all risk of personal injury, death or property damage that may arise out of the events like those advised or warned against. You are also strongly encouraged to review any CDC travel advisory, warning, or recommendation relating to travel before making your Booking at https://www.cdc.gov, and to visit the U.S. State Department’s website at http://travel.state.gov.

14.3 Do Not Attend if ILL. Guests must not attend a Release if they are experiencing symptoms of illness, have tested positive for a communicable or infectious disease, or have been advised by a medical professional or public health authority to isolate or avoid contact with others.

14.4 Right to Refuse Admission / Removal. SiniWorks and/or its Service Providers may refuse admission or remove any Guest who, in SiniWorks’ reasonable judgment or the judgment of a Service Provider, poses a health or safety risk to others or fails to comply with applicable health-related protocols.

14.5 Refunds. Refunds, credits, or transfers related to illness, screening, or public health protocols are governed by the applicable Refund, Late Cancellation, and No-Show policies for the Release, except where SiniWorks cancels the Release.

15. Release Protocol / Guest Protocol

15.1 Release Protocol / Guest Protocol. Guests must comply with the Release Protocol / Guest Protocol at all times, including any rules stated in these Terms, communicated in the applicable Release Details, posted at the venue, or communicated by SiniWorks or Service Providers before or during a Release.

15.2 Reference to Related Sections. Without limiting the foregoing, Release Protocol / Guest Protocol includes, as applicable, the requirements and restrictions described in:
(a) Guest Images/Video and Related Materials(Photography/Capture rules and permitted devices);
(b) Minors; Legal Drinking Age; Identification (age restrictions and ID verification);
(c) Conduct, Safety, Security and Enforcement (standards of conduct, screening, refusal/removal);
(d) Travel, Safety, and Travel Documents (Where Applicable) (Service Provider safety rules and compliance); and
(e) any other Release-specific rules set forth in the applicable Release Details.

15.3 Service Provider Rules. Guests must comply with all venue and Service Provider rules and all reasonable instructions from SiniWorks, venue staff, security, and Service Providers. Service Providers may impose additional safety or access requirements.

15.4 Failure to Comply. Failure to comply with Release Protocol / Guest Protocol may result in refusal of admission, denial of service, removal from the Release, forfeiture of access, and/or disqualification from future Releases, in SiniWorks’ discretion, subject to the Refund and No-Show/Late Cancellation policies.

16. Conduct, Safety, Security & Enforcement

16.1 Standard of Conduct. Guests must conduct themselves in a respectful, lawful, and safe manner. SiniWorks reserves the right to maintain a controlled environment and may deny admission or remove any Guest whose conduct, in SiniWorks’ reasonable judgment, disrupts the experience or creates a safety, security, or reputational risk.

16.2 Prohibited Conduct. Prohibited conduct includes, without limitation: harassment or discrimination; threats; violence; disorderly conduct; property damage; interference with staff, security, or operations; entering restricted areas; refusal to follow instructions; reckless behavior; and any illegal activity.

16.3 Intoxication and Substances. Excessive intoxication, impairment, or possession/use of illegal drugs is prohibited. Alcohol service is subject to venue and Service Provider rules and applicable law. SiniWorks and/or Service Providers may refuse service of alcohol at any time.

16.4 Security Screening and Identification. For safety and verification, SiniWorks and/or Service Providers may require identification checks, wristbands/landyard credentials, and reasonable security measures such as bag checks or screening. Guests must cooperate with all reasonable security requests and instructions. Entry may be denied if a Guest refuses screening or cannot meet identification requirements.

16.5 Restricted Items and Equipment. SiniWorks prohibits and restricts items and equipment, including, without limitation: weapons; drones; external lighting; professional production equipment; and any other items SiniWorks (or any Service Provider) determines to be unsafe, disruptive, or inconsistent with the Release environment. Device/capture rules (including permitted capture devices) are governed by these Terms and Release Protocol / Guest Protocol.

16.6 Enforcement; Refusal of Admission; Removal. SiniWorks and/or Service Providers may refuse admission, remove a Guest, or deny access to any portion of a Release for violation of these Terms or Release Protocol / Guest Protocol, for safety/security reasons, or for failure to comply with staff or security instructions.

16.7 No Refund on Removal. If admission is refused or a Guest is removed due to violation of these Terms, Release Protocol / Guest Protocol, venue rules, or applicable law, the Guest’s ticket, deposit, and/or any amounts paid are non-refundable, except as expressly stated in these Terms.

16.8 Reporting and Cooperation. Guests agree to cooperate with SiniWorks, venue staff, Service Providers, and security as needed to maintain safety and compliance.

17. Photography/Video During a Release

17.1 Official Coverage and SiniWorks Content. SiniWorks (and its authorized team) is the official photo/video capture provider for each Release. SiniWorks may capture photographs, video, and audio during a Release for editorial, promotional, marketing, deliverables, and archival purposes, subject to these Terms and the applicable Release Details (collectively, “SiniWorks Content”). SiniWorks owns all right, title, and interest in and to the SiniWorks Content, including all copyrights and other intellectual property rights therein.

17.2 Guest Appearance Release and Consent. By attending a Release, Guest grants SiniWorks the right to photograph, film, and record Guest during any Release and to use Guest’s name (where identified), likeness, image, voice, interview, statements, and/or other recordings in which Guest may be included (each, an “Appearance”) as part of the SiniWorks Content for deliverables, promotional, marketing, editorial, commercial, and archival purposes during or after the Release, in any media now known or later developed. Guest acknowledges that Guest will receive no compensation for such use and releases SiniWorks from any claims arising from such use, except where prohibited by law.

17.3 Deliverables to Guests. Certain Releases may include Guest-facing deliverables (e.g., gallery access and/or other media) as described in the applicable Release Details (“Guest Deliverables”). Guest Deliverables, if provided, are for the Guest’s personal use unless expressly stated otherwise in the applicable Release Details.

17.4 Guest Capture Limitations. Guests may create Guest Images/Video and Related Materials only in accordance with these Terms and the applicable Release Protocol / Guest Protocol. Unless expressly authorized in writing by SiniWorks before the Release, Guest capture is limited to mobile phones and non-detachable-lens (fixed-lens) cameras. Detachable-lens camera systems (including DSLR or mirrorless), additional lenses, drones, external flashes/LED panels, stands/tripods/monopods, external microphones, or other professional/production equipment are prohibited.

COPYRIGHT OF ALL PHOTOGRAPHS, VIDEO, AND RELATED MATERIALS CREATED BY GUESTS (“GUEST IMAGES”) WILL BELONG TO THE GUEST UPON CREATION. GUESTS AGREE TO GRANT TO THE SINIWORKS RELEASED PARTIES, AS DEFINED IN SECTION 20 BELOW, A NON-EXCLUSIVE, WORLDWIDE, IRREVOCABLE LICENSE TO USE ANY GUEST IMAGES PROVIDED TO SINIWORKS IN ANY MEDIA FOR THE FOLLOWING LIMITED PURPOSES: EDITORIAL USE, PROMOTION OF THIS EDITORIAL USE, PROMOTION OF SINIWORKS’ RELEASES, OR PROMOTION OF SINIWORKS’ BRAND.

17.5 Partner Appearance Release and Consent. If a Partner and/or Service Provider (and/or any of their owners, employees, contractors, agents, guests, or representatives) participates in, attends, hosts, or otherwise appears in connection with any Release (each, a “Partner Participant”), Partner grants SiniWorks the right to photograph, film, and record the Partner Participant and to capture and use the Partner’s name (where identified), trademarks, service marks, logos, trade dress, branded property, vehicles/vessels/aircraft, locations, and other brand identifiers that appear in SiniWorks Content (collectively, “Partner Appearance Materials”).

Partner authorizes SiniWorks to use the Partner Appearance Materials as part of the SiniWorks Content for deliverables, promotional, marketing, editorial, commercial, and archival purposes, during or after the Release, in any media now known or later developed. Partner acknowledges that Partner will receive no compensation for such use unless otherwise agreed in writing.

A. Authority and Consents. Partner represents and warrants that it has the authority to grant the rights above and has obtained (or will obtain) all necessary permissions and releases from its Partner Participants and from any third parties whose rights may be implicated by the Partner’s participation (including without limitation owners of any branded property, vehicles/vessels/aircraft, or locations provided or made available by Partner).

B. Release of Claims. Partner releases SiniWorks from any claims arising out of SiniWorks’ authorized use of Partner Appearance Materials, except where prohibited by law.

C. No Right of Approval. Partner acknowledges that SiniWorks has no obligation to submit SiniWorks Content for approval prior to use, unless otherwise agreed in writing.

18. Force Majeure

18.1 Force Majeure Events. SiniWorks will not be liable for any delay, modification, suspension, or cancellation of a Release caused by events beyond SiniWorks’ reasonable control, including without limitation: severe weather; fire; flood; natural disasters; acts of God; public health emergencies; war; terrorism; civil unrest; labor disputes; power outages; equipment failures not reasonably preventable; transportation disruptions; governmental actions, laws, or restrictions; venue closures; Service Provider unavailability; or other similar events (each, a “Force Majeure Event”).

18.2 Right to Modify or Cancel. In the event of a Force Majeure Event, SiniWorks may modify the Release Details, itinerary/run-of-show, timing, locations, inclusions, access moments, Service Providers, or other elements, or may reschedule or cancel the Release.

18.3 Notice. SiniWorks will use reasonable efforts to notify Guests of material changes when practicable; however, some changes may occur with limited notice, including changes on the day of the Release.

18.4 Refunds and Credits. If a Release is canceled due to a Force Majeure Event, refunds or credits (if any) will be handled in accordance with these Terms and the applicable Refund Policy for that Release. Changes or substitutions due to Force Majeure Events do not entitle Guests to refunds, credits, or price adjustments except as expressly stated in these Terms. SiniWorks shall have no liability for any travel-related costs, losses, or expenses incurred by a Guest as a result of, or in connection with, a Force Majeure Event, whether arising before, during, or after a Release, including without limitation costs associated with delayed or canceled travel, missed connections, itinerary changes, early departure or evacuation from any destination, rebooking, alternative transportation, lodging, meals, travel insurance, passports, visas, fees, or other travel arrangements of any kind.

19. Limitation of Liability

19.1 SERVICE PROVIDERS AND SUPPLIERS. SINIWORKS DOES NOT PURCHASE TRANSPORTATION (BY AIRCRAFT, COACH, TRAIN, VESSEL OR OTHERWISE), HOTEL AND OTHER LODGING ACCOMMODATIONS, RESTAURANT, GROUND HANDLING, TOURS, EXCURSIONS, AND OTHER SERVICES FROM VARIOUS SERVICE PROVIDERS AND SUPPLIERS (INCLUDING TOUR PACKAGES). SINIWORKS, AFFILIATES, PREDECESSORS, SUCCESSORS, OR SUBSIDIARIES, NOR ANY OF ITS/THEIR RESPECTIVE EMPLOYEES, SHAREHOLDERS, OFFICERS, DIRECTORS, SUCCESSORS, REPRESENTATIVES, AGENTS AND ASSIGNS (COLLECTIVELY THE SINIWORK PARTIES), OWN OR OPERATE ANY TRANSPORTATION, LODGING ACCOMMODATIONS ON LAND, RESTAURANTS, GROUND TRANSPORT AND OTHER GOODS AND SERVICES FOR GUEST’S RELEASE THAT ARE OWNED OR OPERATED BY SERVICE PROVIDERS OR SUPPLIERS. ALL SERVICE PROVIDERS AND SUPPLIERS ARE INDEPENDENT CONTRACTORS. IN CONSIDERATION OF THE SERVICES PROVIDED BY SINIWORKS, THE GUEST ACKNOWLEDGES, UNDERSTANDS, AND AGREES THAT THE SINIWORKS RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY (1) DAMAGE TO, OR LOSS OF, PROPERTY, (2) INJURY TO, OR DEATH OF, GUEST, AND/OR (3) LOSS OF SERVICES, PROFITS, OR MONIES, INCLUDING BUT NOT LIMITED TO, CONSEQUENTIAL, EXEMPLARY, INDIRECT OR PUNITIVE DAMAGES OR OTHERWISE, ARISING OUT OF, RELATED TO, OR OTHERWISE IN CONNECTION WITH ANY ACT OR OMISSION OF ANY SERVICE PROVIDERS AND SUPPLIERS, INCLUDING BUT NOT LIMITED TO ANY DEFECT IN ANY AIRCRAFT, WATERCRAFT, OR VEHICLE OPERATED OR PROVIDED BY SUCH SUPPLIERS, CANCELLATIONS, DELAYS, AND/OR ANY NEGLIGENT OR WILLFUL ACTS OF SERVICE PROVIDERS OR SUPPLIERS, INCLUDING ACTS OF ANY OF THEIR EMPLOYEES, AGENTS, CONTRACTORS OR ASSIGNS. GUEST HEREBY RELEASES THE SINIWORKS RELEASED PARTIES FOR ANY SUCH LOSS, DAMAGE, INJURY, OR DEATH.

IN ADDITION AND WITHOUT LIMITATION, THE GUEST AGREES, UNDERSTANDS, AND ACKNOWLEDGES THAT SINIWORKS RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INJURY, FINANCIAL OR PHYSICAL LOSS, DEATH, INCONVENIENCE, DELAY, CANCELLATION, DISRUPTION, VARIATION OR DEVIATION FROM THE SCHEDULED RELEASE, OR DAMAGE TO PERSONAL PROPERTY ARISING OUT OF, RELATED TO, OR OTHERWISE IN CONNECTION WITH SERVICE PROVIDERS’ AND SUPPLIERS’ PROVISION OF ANY GOODS OR SERVICES WHETHER CAUSED BY LAWS, REGULATIONS, ACTS OR FAILURES TO ACT, DEMANDS, ORDERS, OR INTERPOSITIONS OF ANY GOVERNMENT OR ANY SUBDIVISION OR AGENT THEREOF, OR BY ACTS OF GOD OR FORCE MAJEURE, ILLNESS, DISEASE, ACTS OF WAR, CIVIL UNREST, INSURRECTION OR REVOLT, ANIMALS, STRIKES OR OTHER LABOR ACTIVITIES, FIRE, FLOOD, REBELLION, QUARANTINE, PANDEMIC, EPIDEMIC, THEFT, CRIMINAL OR TERRORIST ACTIVITIES OF ANY KIND, OVERBOOKING OR DOWNGRADING OF SERVICES, FOOD POISONING, MECHANICAL, OTHER FAILURE OF AIRCRAFT OR OTHER MEANS OF TRANSPORTATION OR FOR FAILURE OF ANY TRANSPORTATION MECHANISM TO ARRIVE OR DEPART ON TIME, OR ANY OTHER CAUSE(S) BEYOND SERVICE PROVIDERS’ AND SUPPLIERS’ CONTROL. GUEST HEREBY WAIVES ANY CLAIM AGAINST SINIWORKS RELEASED PARTIES AND HEREBY RELEASES THE SINIWORKS RELEASED PARTIES FROM AND AGAINST ANY SUCH INJURY, FINANCIAL OR PHYSICAL LOSS, DEATH, LOSS, INCONVENIENCE, DELAY, CANCELLATION, DISRUPTION, OR DAMAGE TO PERSONAL PROPERTY SET FORTH HEREIN.

19.2 RISK OF ILLNESS, INJURY OR DEATH. BY BOOKING A RELEASE, GUEST ACKNOWLEDGES, UNDERSTANDS, AND AGREES THAT HE/SHE IS AWARE THAT THE TRAVEL ASSOCIATED WITH PARTICIPATING IN A RELEASE INVOLVES ACTIVITIES WITH A RISK OF ILLNESS (INCLUDING COMMUNICABLE AND INFECTIOUS DISEASES), INJURY, OR DEATH WHICH MAY BE CAUSED BY FORCES OF NATURE, ILLNESS, OR BY NEGLIGENT, WILLFUL OR CRIMINAL CONDUCT OF THIRD PARTIES OR TERRORISM. GUEST FURTHER ACKNOWLEDGES THAT WEATHER CONDITIONS MAY BE SEVERE, ADVERSE AND/OR UNPLEASANT AND THAT MEDICAL SERVICES OR FACILITIES MAY NOT BE READILY AVAILABLE OR ACCESSIBLE OR CONSISTENT WITH STANDARDS IN THE UNITED STATES DURING SOME OR ALL OF THE TIME DURING WHICH HE/SHE IS PARTICIPATING IN THE RELEASE AND THAT WHEN AVAILABLE MEDICAL SERVICES OR FACILITIES MAY NOT BE OF THE QUALITY WHICH EXISTS IN THE UNITED STATES. GUEST ASSUMES ANY AND ALL SUCH RISKS ASSOCIATED WITH PARTICIPATING IN THE RELEASE AND GUEST AGREES TO AND HEREBY RELEASES THE SINIWORKS’ RELEASED PARTIES FROM ANY AND ALL LIABILITY WHATSOEVER THAT IS IN ANY WAY RELATED THERETO.

BY BOOKING A RELEASE, GUEST FURTHER ACKNOWLEDGES, UNDERSTANDS, AND AGREES THAT HE/SHE IS AWARE THAT WHILE TRAVELLING IN A REMOTE LOCATION CERTAIN SERVICES, INCLUDING, BUT NOT LIMITED TO, TELEPHONES, MEDICAL ASSISTANCE, MEDICAL EVACUATION, WATER/GROUND/AIR TRANSPORTATION, ETC., MAY BE UNAVAILABLE OR PROVIDED AT A DIFFERENT OR LOWER STANDARD THAN THAT WHICH WOULD BE AVAILABLE IN THE UNITED STATES. GUEST UNDERSTANDS, ACKNOWLEDGES, AND AGREES THATSINIWORKS RELEASED PARTIES (REGARDLESS OF THE COUNTRY WHERE GUEST IS TRAVELLING) SHALL NOT HAVE ANY LIABILITY WHATSOEVER FOR ANY LOSS, INJURY, DAMAGE OR DEATH, HOWSOEVER ARISING WHILE THE GUEST AND THEIR TRAVELLING COMPANION(S) ARE ON THE RELEASE.

GUEST FURTHER ACKNOWLEDGES, UNDERSTANDS, AND AGREES THAT SINIWORKS MAKES NO REPRESENTATIONS OR WARRANTIES CONCERNING THE QUALITY AND/OR SUITABILITY OF ANY MEDICAL CARE, INCLUDING ANY FIRST AID SERVICES, THAT IS AVAILABLE OR PROVIDED, IF ANY, DURING THE GUEST’S RELEASE. ALL MEDICAL CARE AND SERVICES PROVIDED TO GUEST ARE PROVIDED BY INDEPENDENT CONTRACTORS, LOCAL MEDICAL SERVICE PROVIDERS (“MSPs”) AUTHORIZED TO PRACTICE IN THE COUNTRY IN WHICH THE GUEST RECEIVES MEDICAL CARE, SERVICES, AND/OR TREATMENT, AND SUCH CARE/SERVICES/TREATMENT ARE RENDERED PURSUANT TO THE MSP’S SOLE PROFESSIONAL JUDGMENT AND DISCRETION. GUEST ACKNOWLEDGES, UNDERSTANDS, AND AGREES THAT ANY MEDICAL CARE/SERVICES/TREATMENT WILL BE LIMITED TO THE TYPE OF CARE AND TREATMENT NECESSARY, IN THE SOLE OPINION OF THE THIRD-PARTY MEDICAL SERVICES PROVIDER, FOR THE GUEST’S CONDITION AT THE TIME OF TREATMENT WITHIN THE SCOPE OF THE LIMITED AVAILABLE MEDICAL FACILITY IN THE LOCATION AND COUNTRY OF TREATMENT. GUEST FURTHER ACKNOWLEDGES, UNDERSTANDS, AND AGREES THAT SINIWORKS HAS NO CONTROL OVER AND ASSUMES NO RESPONSIBILITY OR LIABILITY FOR THE ACTIONS OF THE INDEPENDENT CONTRACTOR MSPS, EXCEPT FOR SINIWORKS’ OWN NEGLIGENCE OR MISCONDUCT, AND MSPS AND OTHER INDEPENDENT CONTRACTORS DO NOT HAVE AUTHORITY TO MAKE COMMITMENTS FOR, OR ON BEHALF OF, SINIWORKS.

GUEST FURTHER AGREES THAT GUEST WILL NOT HOLD SINIWORKS RELEASED PARTIES RESPONSIBLE OR LIABLE FOR ANY CLAIMS, DEMANDS, JUDGMENTS, CAUSES OF ACTION, DAMAGES, AND LIABILITIES ARISING OUT OF, RELATING TO, AND/OR IN CONNECTION WITH THE PROVISION OF FIRST AID SERVICES AND/OR THE MSP’S PROVISION OF MEDICAL SERVICES, INCLUDING, BUT NOT LIMITED TO, THE QUALITY AND SUITABILITY OF SUCH MEDICAL SERVICES. GUEST UNDERSTANDS THAT SINIWORKS HAS MADE NO INVESTIGATION AS TO THE MEDICAL BACKGROUND, LICENSING, TRAINING, EDUCATION AND QUALIFICATIONS AND SKILLS OF THE MSP(S) AND UNDER NO CIRCUMSTANCES SHALL SINIWORKS RELEASED PARTIES BE LIABLE FOR ANY DAMAGES OF ANY KIND RELATING TO GUEST’S CARE OR TREATMENT BY THE MSP(S). GUEST HEREBY WAIVES, RELEASES, AND DISCHARGES SINIWORKS RELEASED PARTIES FROM ANY AND ALL NEGLIGENCE AND LIABILITY FOR DEATH, PERSONAL INJURY, DISABILITY, PROPERTY DAMAGE, PROPERTY THEFT, OR CLAIMS OF ANY NATURE WHICH MAY HEREAFTER ACCRUE AS A DIRECT OR INDIRECT RESULT OF ANY MEDICAL TREATMENT/CARE/SERVICES PROVIDED TO GUEST DURING THE JOURNEY. GUEST FURTHER AGREES TO DEFEND, INDEMNIFY, AND HOLD SINIWORKS RELEASED PARTIES HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS OF ANY NATURE, INCLUDING ALL COSTS, EXPENSES, AND ATTORNEYS’ FEES, WHICH IN ANY MANNER ARISE OUT OF, RELATE TO, OR ARE IN CONNECTION WITH ANY MEDICAL CARE, TREATMENT, OR SERVICES PROVIDED TO GUEST DURING THE JOURNEY.

GUEST FURTHER UNDERSTANDS AND AGREES THAT IF MEDICAL TRANSPORTATION AND/OR EVACUATION IS NEEDED, SUCH COSTS COULD BE SIGNIFICANT, AND GUEST SHALL BE SOLELY LIABLE AND RESPONSIBLE FOR PAYING ANY SUCH FEES FOR SERVICES. GUEST UNDERSTANDS AND AGREES NOT TO HOLD SINIWORKS RELEASED PARTIES RESPONSIBLE OR LIABLE FOR ALL OR ANY PORTION OF ANY MEDICAL SERVICE FEES, CHARGES, AND/OR EXPENSES CHARGED TO GUEST.

19.3 INHERENT RISKS OF DANGEROUS ACTIVITIES. IF GUEST PARTICIPATES IN ANY ACTIVITIES INCLUDING, BUT NOT LIMITED TO, ANY EXCURSIONS INVOLVING MARINE ANIMALS, SCUBA DIVING, SNORKELING, BOATING, OCEANIC CROSSING, PARASAILING, KAYAKING, USE OF SUPS, JET BOAT RIDES, HELICOPTER FLIGHTS, AIRCRAFT FLIGHTS, TRACK DAY DRIVING EXPERIENCES, AUTOMOTIVE RALLIES, AND ANY OTHER ACTIVITY WHICH CARRIES INHERENT RISK OF SERIOUS ILLNESS, INJURY OR DEATH (COLLECTIVELY “DANGEROUS ACTIVITIES”), THEN GUEST FULLY UNDERSTANDS AND ACKNOWLEDGES THAT DANGEROUS ACTIVITIES CARRY WITH THEM VARIOUS INHERENT RISKS, INCLUDING SERIOUS ILLNESS, INJURY OR DEATH, AND GUEST ACCEPTS COMPLETE RESPONSIBILITY FOR GUEST’S OWN HEALTH AND SAFETY AND AGREES TO ASSUME ALL RISKS OF INJURY, ILLNESS OR DEATH, WHETHER FORESEEN OR UNFORESEEN, ARISING OUT OF, RELATING TO, OR OTHERWISE IN CONNECTION WITH PARTICIPATING IN ANY OF THE DANGEROUS ACTIVITIES AND GUEST FURTHER AGREES TO RELEASE THE SINIWORKS RELEASED PARTIES FROM ANY AND ALL LIABILITY WHATSOEVER RELATED THERETO.

FURTHER, AS CONSIDERATION FOR BEING PERMITTED TO PARTICIPATE IN THE DANGEROUS ACTIVITIES, GUEST AGREES TO AND HEREBY RELEASES AND AGREES NOT SUE OR MAKE ANY CLAIM AGAINST THE SINIWORKS RELEASED PARTIES, FOR ANY CLAIMS, PROPERTY DAMAGE, CANCELLATION OF ANY ACTIVITIES FOR ANY REASON, ILLNESS, NEGLIGENT RESCUE OPERATIONS OR PROCEDURES, PERSONAL INJURY, OR DEATH ARISING OUT OF, RELATED TO, OR OTHERWISE IN CONNECTION WITH GUEST’S PARTICIPATION IN THE DANGEROUS ACTIVITIES, AND ANY ACTIVITY RELATED THERETO, INCLUDING TRANSPORTATION TO AND FROM THE SITE OF THE DANGEROUS ACTIVITIES, REGARDLESS OF WHETHER SUCH PROPERTY DAMAGE, ILLNESS, PERSONAL INJURY, OR DEATH RESULTS FROM THE NEGLIGENCE OF THE SINIWORKS RELEASED PARTIES AND/OR FROM ANY DEFECT IN EQUIPMENT. GUEST FURTHER AGREES TO INDEMNIFY AND HOLD THE SINIWORKS RELEASED PARTIES HARMLESS WITH RESPECT TO ANY CLAIM MADE AGAINST THE SINIWORKS RELEASED PARTIES BY ANYONE ELSE (A) ARISING OUT OF, RELATED TO, OR IN CONNECTION WITH GUEST’S PARTICIPATION IN ANY RELEASE OR ANY DANGEROUS ACTIVITIES, OR (B) WHICH WOULD BE SUBJECT TO THE ABOVE RELEASE AND COVENANT NOT TO SUE IF GUEST HAD MADE THE CLAIM DIRECTLY HIMSELF. UPON RECEIPT OF NOTICE OF THE ASSERTION OF A CLAIM, THE SINIWORKS RELEASED PARTIES RESERVE THE RIGHT TO SELECT DEFENSE COUNSEL OF ITS OWN CHOICE AND IN ITS SOLE DISCRETION AND AT THE EXPENSE OF GUEST.

20. Amendments

Siniworks reserves the right to correct any errors or omissions in its published materials and to amend these Terms at any time. All amended Terms shall automatically be effective upon being posted by SiniWorks to the Website. Guests should check the Website before a Release to ensure they are aware of any changes.

21. Dispute Resolution, Time Limits, and Other Important Legal Limitations

NOTHING IN THESE TERMS SHALL LIMIT OR DEPRIVE SINIWORKS OF THE BENEFIT OF ANY APPLICABLE STATUTES, LAWS, OR INTERNATIONAL CONVENTIONS PROVIDING FOR RELEASE FROM, OR LIMITATION OF, LIABILITY. IF MULTIPLE STATUTES, LAWS, OR CONVENTIONS APPLY, SINIWORKS SHALL BE ENTITLED TO INVOKE ANY AND ALL SUCH LIMITATIONS TO THE FULLEST EXTENT PERMITTED BY LAW.

21.1 APPLICABILITY OF LIMITATION LAWS. NOTHING IN THESE TERMS LIMITS OR DEPRIVES SINIWORKS OF THE BENEFIT OF ANY APPLICABLE STATUTES OR LAWS OF THE UNITED STATES OF AMERICA OR ANY OTHER COUNTRY, OR ANY APPLICABLE CONVENTION PROVIDING FOR RELEASE FROM, OR LIMITATION OF, LIABILITY. TO THE EXTENT MULTIPLE STATUTES, LAWS, OR CONVENTIONS MAY APPLY, SINIWORKS IS ENTITLED TO INVOKE ANY AND ALL SUCH LIMITATIONS TO THE FULLEST EXTENT PERMITTED BY LAW.

NOTICE OF DISPUTE; INFORMAL RESOLUTION (REQUIRED)

21.2 NOTICE OF DISPUTE AND INFORMAL RESOLUTION. BEFORE INITIATING ANY LAWSUIT, SMALL CLAIMS ACTION, ARBITRATION, OR OTHER PROCEEDING AGAINST SINIWORKS, GUEST MUST FIRST PROVIDE SINIWORKS WITH WRITTEN NOTICE OF THE DISPUTE (A “NOTICE OF DISPUTE”) AND ALLOW SINIWORKS AN OPPORTUNITY TO RESOLVE IT INFORMALLY.

THE NOTICE OF DISPUTE MUST INCLUDE: (I) GUEST’S NAME, EMAIL, AND PHONE NUMBER; (II) THE RELEASE NAME/DATE (IF APPLICABLE) AND BOOKING INFORMATION; (III) A DESCRIPTION OF THE ISSUE AND THE LEGAL BASIS FOR THE CLAIM; AND (IV) THE SPECIFIC RELIEF REQUESTED. GUEST MUST SEND THE NOTICE OF DISPUTE TO SINIWORKS AT THE WRITTEN NOTICES ADDRESS PROVIDED IN THESE TERMS.

SINIWORKS AND GUEST AGREE TO ATTEMPT IN GOOD FAITH TO RESOLVE THE DISPUTE INFORMALLY FOR A PERIOD OF THIRTY (30) DAYS AFTER SINIWORKS RECEIVES THE NOTICE OF DISPUTE (THE “INFORMAL RESOLUTION PERIOD”). NO PROCEEDING MAY BE COMMENCED UNTIL THE INFORMAL RESOLUTION PERIOD HAS EXPIRED, EXCEPT THAT EITHER PARTY MAY SEEK TEMPORARY INJUNCTIVE RELIEF IN A COURT OF COMPETENT JURISDICTION WHERE NECESSARY TO PREVENT IMMINENT HARM.

NO TOLLING OF DEADLINES. THE INFORMAL RESOLUTION PERIOD DOES NOT EXTEND OR TOLL ANY CONTRACTUAL TIME LIMITS STATED IN THESE TERMS UNLESS SINIWORKS AGREES IN WRITING.

TIME LIMITS FOR CLAIMS

21.3 TIME LIMITS FOR CLAIMS.

21.3.1 PERSONAL INJURY, ILLNESS, AND DEATH CLAIMS. SINIWORKS SHALL NOT BE LIABLE FOR ANY PERSONAL INJURY, ILLNESS, OR DEATH CLAIM UNLESS FULL PARTICULARS IN WRITING ARE PROVIDED TO SINIWORKS AT THE WRITTEN NOTICES ADDRESS WITHIN SIX (6) MONTHS AFTER THE DATE GUEST COMPLETES THE APPLICABLE RELEASE, AND ANY LAWSUIT OR ARBITRATION IS COMMENCED WITHIN ONE (1) YEAR FROM THE DATE OF THE ALLEGED INJURY, ILLNESS, OR DEATH, AND PROPERLY SERVED OR INITIATED WITHIN ONE HUNDRED TWENTY (120) DAYS AFTER FILING/COMMENCEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

21.3.2 ALL OTHER CLAIMS. SINIWORKS SHALL NOT BE LIABLE FOR ANY CLAIM OTHER THAN PERSONAL INJURY, ILLNESS, OR DEATH UNLESS FULL PARTICULARS IN WRITING ARE PROVIDED TO SINIWORKS AT THE WRITTEN NOTICES ADDRESS WITHIN THIRTY (30) DAYS FROM THE DATE OF THE EVENT GIVING RISE TO THE CLAIM, AND ANY LAWSUIT OR ARBITRATION IS COMMENCED WITHIN SIX (6) MONTHS FROM THE DATE OF THE EVENT GIVING RISE TO THE CLAIM, AND PROPERLY SERVED OR INITIATED WITHIN ONE HUNDRED TWENTY (120) DAYS AFTER FILING/COMMENCEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

SMALL CLAIMS; ARBITRATION

21.4 SMALL CLAIMS CARVE-OUT. AFTER COMPLIANCE WITH SECTION 21.2, EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN A COURT OF SMALL CLAIMS JURISDICTION IF THE CLAIM QUALIFIES FOR AND REMAINS WITHIN THAT COURT’S SMALL CLAIMS JURISDICTION AND IS BROUGHT ONLY ON AN INDIVIDUAL BASIS.

21.5 BINDING INDIVIDUAL ARBITRATION FOR ALL OTHER DISPUTES. EXCEPT FOR CLAIMS BROUGHT IN SMALL CLAIMS COURT UNDER SECTION 21.4, AND AFTER COMPLIANCE WITH SECTION 21.2, ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, ANY BOOKING, ANY RELEASE, OR THE RELATIONSHIP BETWEEN GUEST AND SINIWORKS SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND NOT IN COURT.

THE ARBITRATION SHALL TAKE PLACE IN SEMINOLE COUNTY, FLORIDA, AND SHALL BE ADMINISTERED BY NATIONAL ARBITRATION AND MEDIATION (“NAM”) UNDER ITS APPLICABLE RULES AND FEE SCHEDULE IN EFFECT AT THE TIME THE ARBITRATION IS COMMENCED (INCORPORATED BY REFERENCE), UNLESS SINIWORKS ELECTS ANOTHER REPUTABLE ARBITRATION ADMINISTRATOR WITH SUBSTANTIALLY SIMILAR CONSUMER PROCEDURES. JUDGMENT ON THE ARBITRATOR’S AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION.

THIS ARBITRATION PROVISION APPLIES TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, INCLUDING CLAIMS FOR PERSONAL INJURY, ILLNESS, OR DEATH, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

CLASS ACTION WAIVER; JURY TRIAL WAIVER

21.6 CLASS AND COLLECTIVE ACTION WAIVER. GUEST AGREES THAT ALL DISPUTES MUST BE BROUGHT IN GUEST’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO ARBITRATE ANY DISPUTE ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL BASIS.

21.7 JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW AND EXCEPT AS PROHIBITED IN SMALL CLAIMS COURT, GUEST AND SINIWORKS KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY COURT PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, ANY BOOKING, ANY RELEASE, OR THE RELATIONSHIP BETWEEN GUEST AND SINIWORKS.

GOVERNING LAW AND DAMAGES LIMITATIONS

21.8 GOVERNING LAW. THESE TERMS AND ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS, ANY BOOKING, ANY RELEASE, OR THE RELATIONSHIP BETWEEN GUEST AND SINIWORKS SHALL BE GOVERNED BY FLORIDA LAW, WITHOUT REGARD TO CONFLICT-OF-LAW PRINCIPLES, TO THE FULLEST EXTENT PERMITTED BY LAW.

21.9 CLAIMS FOR EMOTIONAL DISTRESS. SINIWORKS SHALL NOT BE LIABLE FOR EMOTIONAL DISTRESS, MENTAL ANGUISH, OR PSYCHOLOGICAL INJURY OF ANY KIND, EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

21.10 LIMITATION FOR IMPROPER PERFORMANCE / BREACH OF CONTRACT. TO THE FULLEST EXTENT PERMITTED BY LAW, SINIWORKS’ LIABILITY FOR IMPROPER PERFORMANCE OR BREACH OF CONTRACT SHALL BE LIMITED TO THE PRICE PAID BY GUEST FOR THE APPLICABLE BOOKING.

21.11 NO CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SINIWORKS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF OPPORTUNITY) ARISING OUT OF OR RELATING TO THESE TERMS, ANY BOOKING, ANY RELEASE, OR THE RELATIONSHIP BETWEEN GUEST AND SINIWORKS.

22. Service Providers, Partners, Relationship And Use Of Digital Platform

22.1 Service Providers and Partners. Siniworks may contract for certain products and services in conjunction with Releases through Service Providers or Partners. Certain content, including, without limitation, logos, and other information that may be found on or provided in conjunction with SiniWorks’ Digital Platforms, may be the copyrighted property of Service Providers, Partners and other third parties. Guest is prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any content for commercial or public purposes.

22.2 Relationships. In SinWorks role as an experiential event operator, photograpy/video operator and provider of Digital Platforms, SiniWorks does not act as an intermediary third party between Guest and the Service Providers and Suppliers; no joint venture, partnership, employment, agency, representative, fiduciary or similar relationship exists between SiniWorks and any Service Provider or Supplier as a result of Guest’s attendance of SiniWorks’ Release.

We create, plan and arrange curated Releases. We consider various factors in identifying Service Providers, Suppliers, and Partners that are suitable for our Releases. In identifying Service Providers and Suppliers and recommending itineraries, SiniWorks may consider several factors, including, without limitation, Supplier and Service Provider availability and Guest preferences. The relationships SiniWorks has with Service Providers and Suppliers may also influence the Service Providers and Suppliers SiniWorks identifies and the itineraries SiniWorks recommends. While SiniWorks may recommend certain Service Providers and Suppliers, these are solely suggestions; Guest agrees that any decisions as to appropriate use of Service Providers and Suppliers are Guest’s sole and exclusive decision and SiniWorks has no responsibility or liability if the Guest is dissatisfied, for any reason, due to the services provided by the Service Providers and Suppliers SiniWorks may suggest.

22.3 Guest and/or Others’ Use of Digital Platform. Guest may only use Digital Platforms to make legitimate Booking for themselves, or other persons for whom Guest is authorized to act, and Guest shall not use SiniWorks Digital Platforms for any other purposes, including, without limitation, making any speculative, false, fictitious or fraudulent bookings. Guest shall not: (i) use Digital Platforms or anything contained therein or provided in conjunction therewith for commercial purposes, (ii) use any “robot,” “spider”, or other automatic device, or a program, algorithm, or methodology having similar processes or functionality, or any manual process to monitor, scrape, copy, or republish any of the webpages, data, or content found on Digital Platforms, (iii) “frame,” “mirror,” or otherwise incorporate any part of Digital Platforms (or anything contained therein or provided in conjunction therewith) into any other website or application, or (iv) use Digital Platforms in violation of, or to violate, any law, rule, or regulation.

Guest shall not use, nor shall Guest permit any use of, SiniWorks Digital Platforms in conjunction with any of Guest’s activities or by anyone that resides, stays, or is accessing Digital Platforms from a country prohibited under U.S. export and/or Office of Foreign Assets Control regulations, including, without limitation, regulations based upon sanctions, country programs, or embargoes. Guest shall become unauthorized to use Digital Platforms in the event of a breach of these obligations, and Guest shall indemnify and hold harmless SiniWorks, Service Providers, and Suppliers for any breach of this section.

23. Age and Responsibility

Guest represents and warrants that: (i) Guest is at least the Legal Drinking Age and otherwise eligible to attend a Release under these Terms; (ii) Guest has the legal capacity and authority to enter into a binding Contract with SiniWorks; and (iii) all information provided by Guest in connection with an Invitation Request, Booking, or use of any Digital Platform is true, complete, and accurate.

Guest acknowledges and agrees that Guest is financially responsible for all charges incurred in connection with Guest’s Booking and attendance at a Release, including any amounts due under these Terms and any charges incurred directly with Service Providers or Suppliers.

24. Disclaimer Regarding Service Providers And Suppliers

SERVICE PROVIDERS AND SUPPLIERS ARE INDEPENDENT CONTRACTORS AND NOT EMPLOYEES OR AGENTS OF SINIWORKS. SINIWORKS ACTS SOLELY AS AN EXPERIENTIAL OPERATOR FOR GUESTS AND IS NOT LIABLE FOR, INCLUDING, WITHOUT LIMITATION, THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, OR NEGLIGENCE OF ANY SUCH SERVICE PROVIDERS OR SUPPLIERS OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOSS, ACCIDENT, DELAY, IRREGULARITY, OR ANY OTHER DAMAGES OR EXPENSES RESULTING THEREFROM, WHETHER DIRECTLY OR INDIRECTLY. SINIWORKS SHALL HAVE NO LIABILITY AND WILL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, SCHEDULE CHANGE, CESSATION OF OPERATIONS, LABOR DISPUTE, STRIKE, ACTS OF GOVERNMENT, ACTS OF WAR, TERRORISM, DISEASE, QUARANTINE, WEATHER, OR OTHER FORCE MAJEURE EVENT OR OTHER CAUSE BEYOND SINIWORKS DIRECT CONTROL (EXCEPT WHERE REQUIRED UNDER APPLICABLE LAW). SINIWORKS HAS NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, CANCELLATIONS OR RE-ROUTING CAUSED BY ANY ACTS OR OMISSIONS OF ANY SUPPLIER, SERVICE PROVIDER, OR GOVERNMENTAL AUTHORITY. THE FACT THAT SINIWORKS MAKES AVAILABLE, AS PART OF ANY RELEASE, DOES NOT MEAN SINIWORKS IS ENDORSING OR RECOMMENDING SUCH PRODUCT OR SERVICE. ANY AND ALL CLAIMS REGARDING ANY PRODUCTS AND SERVICES OFFERED ARE LIMITED TO CLAIMS AGAINST THE SERVICE PROVIDER AND/OR SUPPLIER OF SUCH PRODUCTS AND SERVICES. SINIWORKS HEREBY DISCLAIMS ANY LIABILITY, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, INCLUDING WITHOUT LIMITATION LIABILITY FOR ANY DIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OUR INDIRECT DAMAGES, IN CONNECTION WITH PRODUCTS OR SERVICES PROVIDED BY ANY SERVICE PROVIDER AND/OR SUPPLIER, INCLUDING WITHOUT LIMITATION, LIABILITY FOR ANY ACT, ERROR, OMISSION, INJURY, DEATH, PROPERTY DAMAGE, LOSS, ACCIDENT, DELAY, IRREGULARITY OR ANY OTHER DAMAGES OR EXPENSES WHICH MAY BE INCURRED THROUGH THE FAULT, NEGLIGENCE, OR OTHERWISE, OF SUCH SERVICE PROVIDERS AND/OR SUPPLIERS AND GUEST HEREBY EXONERATES SINIWORKS FROM ANY LIABILITY WITH RESPECT TO THE SAME.

25. No Warranties

TO THE EXTENT PERMITTED BY LAW, AND WITHOUT LIMITING THE GENERALITY OF ANY DISCLAIMERS SET FORTH IN OUR TERMS OF SERVICE, SINIWORKS MAKES NO WARRANTY OF ANY KIND REGARDING ITS WEBSITE AND ANYTHING PROVIDED ON OR THROUGH ITS WEBSITE, BROCHURES AND/OR MARKETING MATERIALS, ALL OF WHICH ARE PROVIDED ON AN “AS IS” BASIS. SINIWORKS DOES NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY OF THE CONTENT, DATA, OR INFORMATION FOUND ON/THROUGH ITS WEBSITE, BROCHURES AND/OR MARKETING MATERIALS (MUCH OF WHICH IS PROVIDED BY SERVICE PROVIDERS OR SUPPLIERS), AND SINIWORKS EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. SINIWORKS DOES NOT WARRANT THAT ITS WEBSITE, ITS SERVERS, OR ANY E-MAIL SENT FROM SINIWORKS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMERS MAY NOT APPLY TO GUEST. SUCH WARRANTIES GIVE GUEST SPECIFIC RIGHTS WHICH MAY VARY FROM STATE TO STATE.

26. Severability

Should any provision of these Terms be contrary to or invalid by virtue of the law of any jurisdiction in which these Terms are attempted to be enforced, or for any other reason, said provision shall be deemed to be severed from these Terms and shall be of no effect, but all remaining provisions herein shall remain in full force and effect.
